Disclosing Party – The Agents Client

Approved Purpose – means the purpose of considering, formulating, evaluating, developing, negotiating and/or (if applicable) implementing a Proposed Transaction.

Proposed Transaction means an agreement, offer or arrangement relating to the acquisition of or any joint venture between the receiving party and the Disclosing Party and any Related Bodies Corporate of the parties in relation to any Leasehold and/or Freehold interest.

Confidential Information – all information of, related to, or connected with, the property, business, operations and affairs of the Disclosing Party, including all past, current and prospective financial, accounting, trading, commercial, marketing, technical and business information, trade secrets and know-how and any information relating to the business activities, communications, ventures or operations of the disclosing party or any of the Disclosing Parties Related Bodies Corporate, disclosed (orally, in writing, by electronic or magnetic media, by visual observation or by other means) by, or on behalf of the Disclosing Party or the Agent to the Receiving Party or the Receiving Party’s authorised persons/representatives.

The Receiving party must not:

(a) without the prior written consent of the Disclosing Party or Agent, disclose any of the Confidential Information to any person other than to the party’s Authorised Persons
(b) use, disclose or reproduce any of the Confidential Information of the Disclosing Party or Agent for any purpose other than the Approved Purpose; and
(c) make use of any Confidential Information of the Disclosing Party to the commercial, financial or competitive disadvantage of the Disclosing Party or Agent or any of their Related Bodies Corporate.
(d) Inspect the subject property / subject business (without the prior written consent of the Agent or contact any staff members associated with the proposed transaction

Any liability on the part of Peritus Childcare Sales Pty Ltd (the Agent), its servants or agents for damages for any claim by a Receiving Party arising out of or in connection with this material including, without limitation, any loss or claim under Section 18, Part 2-1, Chapter 2 of the Competition and Consumer Act 2010 (Cth) will not (whether or not such liability results from or involves negligence) exceed $1,000.
